Terms and conditions of service for Certified Learning Providers (CLP)

These terms and conditions of service have been developed by Appleton Greene & Co for all Certified Learning Providers (CLP). Certified Learning Providers (CLP) consent to abide by these terms and conditions of service in the nature of goodwill which they represent.

AGC-T1 – MINIMUM REQUIREMENTS FOR CERTIFIED LEARNING PROVIDERS
In order to be eligible to apply, you must have achieved the following: an MBA or a business-related Masters Degree; at least 10 years consultancy, corporate training, or executive management experience; an annual income of USD$150k+. If you do not have the required educational qualifications, then at least 20 years experience would be required. You must also have a good idea for your Unique Program Proposition (UPP), which must be process-driven and you must be able to demonstrate a good level of understanding and interpretation in relation to the program information provided during your telephone interview. and they will also have an independent nature. Learning Providers will have a strong desire to succeed and will be prepared to work hard in order to achieve their goals. They will be confident in their own abilities and will primarily see themselves as a people person, a trainer, mentor, or consultant and will recognize that what they personally find most rewarding is empowering, motivating and knowledge sharing. They will also be perfectionists in terms of the quality of their work and what they do. Most of all, they are entrepreneurs who will recognize that by productizing what they do, they are able to provide a much more tangible service offering to their clients and can earn a considerably higher income personally as a result. This is because their clients’ key performance indicators will relate specifically to the training products provided, rather than charging for their time, advice, or opinions. In many cases, Appleton Greene Learning Providers will have already consulted independently and will have learned the hard way that in order to succeed, they will need to productize what they offer their clients, in order to ensure that their business is viable over a sustainable period of time. In some cases, Appleton Greene Learning Providers will have never consulted before, but will have obtained enough managerial experience to recognize that they are more intuitive, innovative and ambitious than their peers. Ultimately there will be a strong personal desire and common goal to be in control of their own destiny, to achieve a better work-life balance and to free themselves from the restraints of traditional employment.


AGC-T2 – PROJECTED INCOME
Learning Providers earn up to USD$300k annually while training as a (CLP) and while developing their (UPP). Once qualified, a (CLP) can earn between USD$1m and USD$3m annually.This is achieved by developing and implementing corporate training programs which incorporate Unique Program Propositions (UPP) that are based upon a Learning Provider’s own skills, experience, interests and methodologies. Appleton Greene is therefore looking to identify individuals who have the knowledge, the vision, the ambition, the confidence, the integrity and the commitment required in order to succeed. Appleton Greene also charges a service fee of 10% on the value of any and all corporate training program service orders, which are achieved through Appleton Greene. There may also be a 10% introduction fee payable to other learning providers, program directors, or consultants, who may have been personally responsible for introducing a corporate program service order to you. You will also be eligible to earn a 10% introduction fee yourself where you have personally introduced business to other learning providers, program directors and consultants.

DISCLAIMER
Certified Learning Providers (CLP) operate independently and are not employed directly by Appleton Greene in any capacity. Success will therefore be dependent upon the Learning Provider’s study progress and the interest generated by individual Certified Learning Providers, by the Unique Program Proposition (UPP) which they develop and by willing third party clients and employers placing service orders via Appleton Greene & Co. Independent learning providers will need to forward invoices to either Appleton Greene or client or employer companies for services provided and are paid monthly by international bank wire transfer as an independent service provider. Learning Providers are individually responsible for managing their own personal tax affairs within the jurisdictions in which they hold residential status and as such they will need to seek advice from their local accountant or tax adviser in order to ensure that they comply with any local, corporation, or personal regulatory requirements.


AGC-T3 – TUITION FEE & PAYMENT TERMS
The Certified Learning Provider (CLP) program costs USD$8k. Your first payment of USD$4k would be due for payment within 7 days of your application being approved, in order to reserve your position on the program. The remaining balance of USD$4k would then be due 30 days prior to your proposed start date. Positions can be booked up to 12 months in advance, subject of course to ongoing availability. AGC also charges a flat service fee of 10% on the value of all corporate training program orders that are processed through AGC. This particular service fee is deducted from client monthly payments and does not therefore need to be budgeted for. Positions are normally allocated on a quarterly basis during the months of January, April, July and October each year and are subject to ongoing availability. Appleton Greene is an equal opportunities learning and service provider and as such we are understandably bound to treat all candidates equally. We cannot therefore broker special financial or service terms and conditions with individual students regardless of the circumstances.


AGC-T4 – BUSINESS DEVELOPMENT
Clients and a sustainable corporate training business are achieved through the Certified Learning Provider’s professional association with Appleton Greene. No business development activity is required by Learning Providers. If you have taken the time to review the Appleton Greene web site, then you will have determined that the company is primarily a corporate training provider, specializing in the provision of standard and bespoke programs to client companies, which all focus upon business process improvement. We have an extensive portfolio of corporate programs available to clients, which are developed and implemented by hundreds of Appleton Greene Certified Learning Providers. The common denominator with all of these programs is that they are all process-orientated. In other words, each program facilitates the implementation of a tangible process, within the client’s organization, enabling them to improve their process in relation to the specific service subject matter of the program. These programs can focus upon any of the following departments: Customer Service; E-business; Finance; Globalization; Human Resources; Information Technology; Legal; Management; Marketing; or Production. BUSINESS DEVELOPMENT PROCESS
As an integral part of the Certified Learning Provider (CLP) program, links to your Client Information Hub (CIH) will be provided within general news and information emails that are regularly distributed to 500,000+ client contacts within the Appleton Greene global client network and this will certainly help to create awareness and to establish credibility for you over a sustainable period of time, which will commence once both your Client Information Hub (CIH) and 1st Workshop Development Process (WDP1) has been approved and published by Appleton Greene. However, these communications are understandably not exclusive to you or your corporate training program and are not exclusive to your preferred industry sectors or geographical locations either. Indeed many of the companies, industry sectors and geographical locations will probably not be relevant to you or your proposed Unique Program Proposition (UPP). These general news emails will also feature the profiles of hundreds of other Accredited Associate, Executive and Senior Consultants and Certified Learning Providers. So, while this process certainly will be useful in terms of creating awareness and establishing credibility, you will need to advertise your Client Information Hub (CIH) by implementing 3-4 Client Prospecting Service (CPS) campaigns, that are clearly targeted towards your own choice of client profiles, industry sectors and geographical locations. The income projections that are provided within your Certified Learning Provider (CLP) Candidate Information Guide are based upon an average of what all learning providers usually earn annually at Appleton Greene. However, in order to establish a full portfolio of clients, as a learning provider, you will need to promote your Client Information Hub (CIH) through Appleton Greene, to a very clearly defined target market, focusing upon the specific industry sectors and geographical locations of your choice. It invariably takes 3-4 Client Prospecting Service (CPS) campaigns to establish a full portfolio of 10 Client Partners. Whether you elect to book all of these at the same time, or spread the campaigns over a number of months or years is entirely up to you.

CLIENT PROSPECTING SERVICE (CPS)
The income projections that are provided within your Certified Learning Provider (CLP) Candidate Information Guide (CIG) are based upon an average of what all Learning Providers usually earn annually at Appleton Greene. However, in order to establish a full portfolio of clients, as a Learning Provider, you will need to promote your Client Information Hub (CIH) through Appleton Greene, to a very clearly defined target market, focusing upon the specific industry sectors and geographical locations of your choice. It invariably always takes approximately 3-4 Client Prospecting Service (CPS) campaigns, after your Client Information Hub (CIH) and 1st Workshop Development Process (WDP1) have been approved and published by Appleton Greene, in order to establish a full portfolio of clients. Once Learning Providers have established a full portfolio of clients, they usually just implement 1 Client Prospecting Service (CPS) campaign every year in order to replace a small number of clients whose contractual program agreements have expired. So, these campaigns should be entirely self-financing once you are established. Ideally, your first Client Prospecting Service (CPS) campaign should be planned to commence from the time when both your Client Information Hub (CIH) and your 1st Workshop Development Process (WDP1) have been approved and published by Appleton Greene. However, campaign positions are subject to ongoing availability and are therefore usually booked well in advance. It is entirely your prerogative to plan the development of your Appleton Greene corporate training practice within a time frame that suits both your own expectations and your own budget. For example, if you are already in full time employment and are planning for the future with Appleton Greene and are therefore happy to develop your client portfolio gradually, over a period of say 4-5 years, then 1 Client Prospecting Service (CPS) campaign each year, would probably be sufficient in order to achieve this. Alternatively, if you would prefer to establish a full client portfolio immediately within your first year, then you would need to implement 3-4 Client Prospecting Service (CPS) campaigns within your first year, in order to have the opportunity of achieving this. The choice is yours. 4 MARKETING CHANNELS – 4 MARKETING DEPARTMENTS
In terms of marketing resources, Appleton Greene has 4 separate marketing departments, each individually employing the services of between 25-30 people and the 4 departments specialize in: Email Marketing; Digital Marketing; Client Prospecting and Appointment Setting. These departments manage campaigns for our clients, learning providers and our consultants. All supplementary focus marketing and mass marketing services are available at additional cost and are entirely optional.

AGC-T5 – TIME MANAGEMENT
It only takes approximately 294 hours, or 49 days to become a qualified Certified Learning Provider who is developing a 1 year corporate training program, or 1,158 hours, or 193 days, to develop a 4 year corporate training program. Learning Providers can study from home or work at their own pace and are responsible for managing their own study plan. There are no formal examinations and Learning Providers are evaluated and assessed based upon their project study submissions, together with the quality of their corporate training program and supporting documents. They can contribute more time towards study, when they have the time to do so and can contribute less time when they are busy. All Learning Providers tend to be in full time employment while studying and the Certified Learning Provider (CLP) program is purposely designed to accommodate this, so there is plenty of flexibility in terms of time management. It makes no difference to us at Appleton Greene, whether individuals takes 1 year or 4 years in which to qualify as a Certified Learning Provider (CLP). What matters is that in all cases the same standard of quality will have been achieved with the standard and bespoke programs that have been developed. It is ultimately the Learning Provider’s responsibility to manage their own time and their own study plan, but Appleton Greene will still evaluate and assess your rate of progress to ensure that consistent progress is being made. If it is not, then you can always apply for a Study Period Extension (SPE) and a proportionate tuition fee will be levied for the extension required.


AGC-T6 – EVALUATION AND ASSESSMENT
Appleton Greene & Co takes great care to ensure that candidates are evaluated and assessed carefully before being offered a position on the Certified Learning Provider (CLP) program. The application process takes a minimum period of four weeks and incorporates the provision of a detailed program information guide, the requirement for the candidate to complete a candidate assessment form, which constitutes an entry examination for the program and a personal telephone interview. A further period of 14 business days is allocated for applications to be reviewed, evaluated and processed. Appleton Greene is limited in terms of the number of Learning Provider places that are available and applications are only usually considered once annually. The quality of applications that we receive at Appleton Greene is always extremely high and as such we reserve the right to respectfully decline applications, which are not considered to be of the required standard. If the candidate’s application is ultimately approved by Appleton Greene, a formal offer will be made in writing and the candidate will then be required to complete a program application form, which incorporates Appleton Greene’s terms and conditions of service and constitutes a contractual agreement. Candidates then have a further period of 7 days in which to arrange the first payment of USD $4,000.00, in order to reserve their position on the program.


AGC-T7 – TUITION FEE REFUNDS
Certified Learning Provider (CLP) tuition fees are not refundable. Appleton Greene & Co does not accept any financial obligation for students or learning providers who have either misunderstood or misinterpreted the information provided, or who have not been able to benefit from the program for personal reasons. It is the learning provider’s responsibility to provide all of the information that is required under the terms and conditions of this agreement within a timely manner and to manage their own study time and program development. Appleton Greene & Co is also not responsible for learning providers who decide to follow a different career path or are not able to dedicate the required time or commitment during their designated study period. If a Learning Provider pays 50% of their discounted tuition fee, i.e. USD$4k at the time of enrollment in order to reserve their position on the program and is then unable or unwilling to complete their application by paying the outstanding balance of their discounted tuition fee, i.e. USD$4k, 30 days prior to their proposed start date as scheduled, then the original USD$4k will not be refundable. Appleton Greene will have specifically reserved this position for the (CLP) candidate upon their request and will at this point be unable to replace their position on the program with another candidate. Appleton Greene only usually considers applications for the Certified Learning Program once annually and is restricted to offering a maximum of 50 (CLP) positions in any one calendar year. Consequently, if a (CLP) candidate does not complete their application as scheduled then Appleton Greene will have suffered the same financial loss as the (CLP) candidate and will also have lost a student for the current calendar year.


AGC-T8 – FACILITATION VIA DISTANCE LEARNING
Appleton Greene training programs are undertaken by distance-learning. Each Appleton Greene training program provides a structured framework for translating academic theory into practical integration and this process is then facilitated by the use of online tutorial support. All tutorial support is provided online either via the training program web site, the AGC cloud server, or via email and is undertaken on a one-to-one basis. This enables us to keep a record of all tutorial support provided. It also enables due and careful consideration with all tutorial support provided. The student is responsible for managing their own study plan and should ensure that they complete the program within the designated time period of four years. A program extension period of a further 12 months can be applied for after the initial training period has expired, but only if more than 50 per cent of the training program has been successfully completed by that time. The granting of any training extension period is determined entirely at the discretion of Appleton Greene.


AGC-T9 – PROGRAM UPDATES
Appleton Greene training programs are updated and amended regularly and training upgrades may therefore be forwarded to students from time to time at no additional cost if deemed appropriate by Appleton Greene. Complaints about defects in training material should be reported in writing within a maximum period of 30 days of receiving the training program. The (CLP) terms and conditions of service, AGC terms and conditions and AGC privacy and confidentiality policies may also be updated and amended when it is deemed appropriate by Appleton Greene & Co and such changes will become legally binding parts of this agreement. Learning Providers will be informed about any updates or amendments in writing via email.


AGC-T10 – PERFORMANCE ASSESSMENT AND GRADING
Appleton Greene training programs feature several project studies, which are in some cases undertaken with actual business or client partners. Assessment is based upon the quality of work undertaken and associated feedback in relation to the project studies. There are no additional internal workshops or examinations. Appleton Greene ensures the practical integration of academic theory as an integral part of the qualification process. Students are responsible for ensuring that their project studies are completed to a satisfactory standard. This standard is determined by Appleton Greene. If a student’s project study is not considered to be of the required standard, a detailed explanation will be offered in writing to the student, together with a detailed list of tasks which need to be undertaken in order for the project study to reach the required standard. The student can then have as many opportunities as they need to re-submit project studies for evaluation and assessment in order to ensure that their project study reaches the required standard. These project study submissions need to be made within the predetermined constraints of program time limits, that is to say 4 years for the Certified Learning Provider (CLP) program. Students will need to achieve a grade of 70% in order to achieve a pass with merit and 85% in order to achieve a pass with distinction for each individual project study. All (CLP) programs are implemented over a sustainable period of time, usually 4 years, incorporating 48 monthly workshops and professional support is consistently provided during this time by qualified learning providers and where appropriate, by Accredited Consultants. This is because all (CLP) programs are process-driven and are used as vehicles to implement a tangible business process.


AGC-T11 – PROGRAM OBJECTIVES
The program objectives, which are featured within the (CLP) program information guide, should all be achieved by implementing the procedures featured within the training program. Success will be dependent upon the student’s ability, application and commitment with regard to completing the training program.


AGC-T12 – CLP PROGRAM INFORMATION GUIDE
The contents of the Certified Learning Provider (CLP) Information Guide are all embodied into the terms of enrollment within this application form. In the event of any conflict, then the terms of this application form will prevail.


AGC-T13 – EQUAL OPPORTUNITIES
Appleton Greene is an equal opportunities learning and service provider and as such we are committed to treating all candidates and learning providers equally. This means that we cannot broker special financial or study arrangements with individual students regardless of the circumstances. If an application to enroll on a training program has been unsuccessful, or if a formal offer has not been taken up within the designated offer period, then we respectfully ask candidates to allow a minimum period of 12 months to expire, before they consider reapplying. New candidates will always be afforded due priority in accordance with our equal opportunities policy. Program and service orders, consultancy assignments and projects are achieved by referral, recommendation and introduction through Appleton Greene & Co and through other member consultants and learning providers. As such assignments are generated by client organizations themselves or by other member consultants and learning providers. Success will therefore depend upon the interest generated by an individual learning provider and their unique program proposition. Appleton Greene & Co is an equal opportunities service provider and is therefore bound to treat all learning providers equally. All learning providers are therefore governed equally under the same terms and conditions of service. Appleton Greene & Co is not an employment agency, does not canvass clients on behalf of learning providers and does not guarantee success.


AGC-T14 – DUTY OF CARE
Learning Providers have a legal duty of care to act responsibly and with integrity and honesty and in the nature of goodwill that this agreement represents. Appleton Greene & Co reserves the right to refuse or to cancel this contractual agreement and to resort to litigation if it is deemed that the learning provider has not adhered to these terms of enrollment or if they are deemed to have acted in an unprofessional, unreasonable, or irresponsible manner, or if they are deemed to have personally brought Appleton Greene & Co into disrepute. The learning provider also has a duty of care to provide their clients and employers with professional indemnity insurance to cover professional malpractice. The learning provider personally indemnifies Appleton Greene against any potential legal or financial claims relating to programs or services that are ultimately provided by or are the responsibility of the learning provider.


AGC-T15 – COMMUNICATIONS
All of the contents contained within Appleton Greene & Co service support communications, including emails, information guides, training program material and the websites are protected by copyright. None of the material or content should be copied or reproduced without the prior written consent of Appleton Greene & Co. All rights reserved @ Appleton Greene & Co Global Limited.


AGC-T16 REPRESENTATION, UNAUTHORIZED REPRESENTATION OR SELF-PROMOTION
Once a candidate has qualified as a Certified Learning Provider (CLP), by completing all three parts of the Certified Learning Provider (CLP) program, achieving either a pass with merit or distinction in each case, they are then are welcome to refer to themselves as an Appleton Greene Certified Learning Provider (CLP) on their private business stationary, or during meetings with clients. They do not however represent Appleton Greene and are not employees or agents of Appleton Greene & Co or any of their associated companies thereof. Certified Learning Providers (CLP) are not therefore authorized to promote themselves independently within the public domain by referring to themselves as an Appleton Greene Certified Learning Provider (CLP), without prior written consent having been received from Appleton Greene. This includes any unauthorized representation or self-promotion on social or professional networks, including Facebook, LinkedIn, Google+, or blogs. Any complaints relating to false or unauthorized representation or self-promotion, that Appleton Greene receives in writing from other clients, learning providers, or consultants, may result in the termination of Learning Provider services in accordance with our terms and conditions of service. Any statements or communications made within the public domain, that could be construed as libelous, defamatory, or slanderous, either relating to Appleton Greene & Co, or any associated clients, learning providers, program directors, or consultants, or which constitutes a breach of professional confidentiality, should be reported to Appleton Greene’s legal department, by forwarding an email to legal[AT]appletongreene.com . Thank you for complying with Appleton Greene’s terms and conditions of service. You can review Appleton Greene’s terms and conditions of service in full by referring to the Application Form, which you duly completed before registering for this service. Thank you for your courtesy and cooperation in this regard.


AGC-T17 – PRIVACY POLICY
The Appleton Greene & Co privacy policy and terms of use are also embodied as part of the terms and conditions of this contractual agreement. Appleton Greene & Co also reserves the right to amend or update its terms and conditions of service at any time. Learning Providers are bound by Appleton Greene’s privacy and confidentiality policy both during their professional association with Appleton Greene and for an indefinite period thereafter. This prevents learning providers from disclosing, publishing, communicating (either written or verbal), any information whatsoever which relates to their training programs, consulting engagements, client companies, other learning providers, other member consultants, or Appleton Greene, without prior written consent being obtained from Appleton Greene. Learning Providers are expected to act responsibly and to protect third party rights to privacy and confidentiality and failure to comply with this policy may result in civil or criminal prosecution.


AGC-T18 – INDEMNIFICATION
The learning provider agrees to indemnify Appleton Greene against any civil or criminal legal cases and subsequent financial damages therein from client companies or indeed any third parties, if the case is in relation to programs, work or assignments that have been developed, or undertaken in whole or in part by the learning provider. The learning provider is responsible for ensuring that they have an adequate Professional Indemnity Insurance policy in place in order to provide reasonable cover against any potential claims relating to professional negligence or a lack of duty of care.


AGC-T19 – LAWS
Learning Providers must operate within and abide by all applicable local, national and international laws at all times and have a duty to inform Appleton Greene if they have been arrested or charged with any offense, regardless of whether it is of a commercial or personal nature. Learning Providers also have a duty to inform Appleton Greene if they are declared bankrupt or insolvent during their period of association with Appleton Greene. Learning Providers agree to indemnify Appleton Greene against any legal cases which arise as a result of the learning provider’s own personal malpractice or misdemeanor.


AGC-T20 – GENERAL BEHAVIOR
Learning Providers have a duty and responsibility to conduct themselves professionally and with integrity during and after their association with Appleton Greene and to act in the nature of goodwill which this agreement represents. Learning Providers should strive to ensure that they conduct themselves in a reasonable and proper manner at all times during their association with Appleton Greene and thereafter.


AGC-T21 – STUDY PERIOD EXTENSIONS
The designated study period for the Certified Learning Provider (CLP) program is between 1-4 years. If a student has still not completed their program within the designated study period of 1-4 years, then they can apply for a Study Period Extension (SPE) in writing addressed to the (CLP) Program Director. Appleton Greene will then evaluate and assess the student’s study progress to date, together with any personal mitigating circumstances, such as health or family issues that may have prevented the student from completing their program within their designated study period. It will ultimately be at the sole discretion of Appleton Greene to determine whether or not a Study Period Extension should ultimately be granted. If a Study Period Extension is granted, then an additional Study Period Extension (SPE) tuition fee will be payable by the student and this will be determined by Appleton Greene at the appropriate time. Appleton Greene is an equal opportunities learning and service provider and as such is understandably bound to treat all students equally. Appleton Greene cannot therefore broker special financial or study arrangements with individual students regardless of the circumstances.


AGC-T22 – TITLE & OWNERSHIP
The Certified Learning Provider (CLP) retains legal title and ownership of any and all standard and bespoke training programs, which they have personally created or developed. If this is the case, then the Certified Learning Provider (CLP) will have received confirmation in writing from Appleton Greene confirming their status as the legal owner of the corporate training program. This does not include any programs, which have been advertised by the Certified Learning Provider (CLP) through Appleton Greene, but have not yet been developed and where legal ownership has not yet been approved or verified.
NOTE
Appleton Greene & Co Certified Learning Provider (CLP) terms and conditions of service are developed in accordance with and are governed by Cayman Islands and English Law. learning Providers accept that any litigation or court action will in all cases take place within the jurisdiction of the Cayman Islands, regardless of the geographical location of individual learning providers or client companies.

Your statutory rights are not affected.
