Terms and conditions of service for Accredited Program Directors (APD)

These terms and conditions of service have been developed by Appleton Greene & Co for all independent Accredited Program Directors, referred to here as (APD) members. (APD) members consent to abide by these terms and conditions of service in the nature of goodwill in which they represent.

This contractual agreement is between Appleton Greene & Co and the independent (APD) member who is responsible for planning, developing, implementing and managing their own independent corporate training practice. Appleton Greene provides support and assistance to both client companies and to (APD) members as an independent facilitator and mediator, but (APD) corporate training programs are not developed or implemented directly by Appleton Greene or by any of the company’s employees or representatives.

Appleton Greene charges clients USD$30,000.00 for each part, which is for a period of 12 months, incorporating 12 monthly workshops, together with online support via email or the Appleton Greene cloud servers. The time allocated for each monthly workshop is 8 hours and the time allocated for online support is also 8 hours per month. Once clients have completed Part 1, they can then continue onto Part 2, Part 3 and Part 4 respectively, as and when they are ready to do so. This equates to USD$2,500.00 per month for each client, or USD$25,000.00 per month for a combined portfolio of 10 clients, or USD$300,000.00 annually. Appleton Greene charges a service fee, amounting to 10% of the total invoice value of any and all business that is undertaken through Appleton Greene. This covers the cost of Appleton Greene’s customer service, quality management, e-business, financial accounting, global operations, human resources, technology development, legal operations, business management, marketing and program production. An introductory fee of 10% is also payable to Appleton Greene Accredited Learning Providers, or Accredited Associate, Executive, or Senior Consultants who have personally been responsible for introducing the new client companies that have placed program orders with (APD) members.

When a program application form has been completed by a client, it is evaluated and assessed by Appleton Greene for authenticity. It is then forwarded onto the Accredited Program Director (APD) for their consideration. It is the Accredited Program Director’s prerogative to elect whether to accept or decline the program order, depending upon their current resource availability. If the program application is accepted by the Accredited Program Director (APD), then it is forwarded onto Appleton Greene’s legal department for approval. Once approved, our accounts department issues the client with an invoice, which is payable monthly in advance of service provision to Appleton Greene by international bank wire transfer throughout the duration of the contractual agreement. Accredited Program Directors are also responsible for their own corporate, professional indemnity and health insurance requirements and any other ordinary disbursements relating to their independent corporate training practice.

Upon completion of a client service order form, an annual invoice will be raised by Appleton Greene for and on behalf of the independent (APD) member. All service fee payments are payable by clients monthly in advance of service provision on or around the 1st day of each calendar month. Service start dates will also be planned to commence from the 1st day of each calendar month. All payments need to be made in USD currency and by international bank wire transfer to Appleton Greene’s international client account, details of which are made available to clients upon request.

The Accredited Program Director (APD) service is clearly explained within the invitation email communications that will have been forwarded to (APD) members and/or the respective service information guides, the contents of which are embodied into the terms and conditions of this application form. In the event of any conflict the terms and conditions of this application form will prevail.

Corporate training programs are provided by independent (APD) members on a best efforts basis. Any advice or support provided by independent (APD) members constitute their opinions and do not necessarily reflect the opinions of Appleton Greene. Client companies accept responsibility for any decisions that they make as an organization and cannot hold Appleton Greene or independent (APD) members responsible for decisions which they make as an organization relating to any advice or support provided. Appleton Greene will be happy to act as a mediator in the event of any contractual disputes between client companies and independent (APD) members.

There are ordinarily four parts to each Appleton Greene standard corporate training program. The fixed term of client program contractual agreements is a period of 12 months for each part, which upon completion, clients can then elect to progress onto the next part, until all four parts have been completed. Client service agreements cannot be terminated before the initial 12 month period has expired unless both parties (the client company and the independent (APD) member) both agree to do so by mutual consent in writing. Fixed 12 month agreements provide both the client company and the independent (APD) member with the required stability in order to ensure that a consistent service is provided.

(APD) members undertake to act responsibly and with integrity and honesty and in the nature of goodwill that this agreement represents. Appleton Greene & Co reserves the right to refuse or to cancel membership if it is deemed that the (APD) member has not adhered to their terms of membership or the terms of this agreement, or if they are deemed to have acted in an unprofessional, unreasonable, or irresponsible manner, or if they are deemed to have brought Appleton Greene & Co or client companies into disrepute.

Accredited Program Director (APD) service fees are not refundable under any circumstances. Appleton Greene & Co takes great care to ensure that as much information is provided to (APD) members about the Accredited Program Director (APD) service in advance of this service agreement being completed and before any service fees are paid. This incorporates an invitation email, a personal telephone interview and a detailed service information guide. The application process takes a minimum period of four weeks and provides ample time for due consideration. Appleton Greene & Co does not accept any financial obligation for (APD) members who have either misunderstood or misinterpreted the information provided, or who have not been able to benefit from the service for personal reasons. It is the (APD) member’s responsibility to provide all of the information that is required under the terms and conditions of this agreement within a timely manner in order to enable Appleton Greene & Co to adequately ensure professional service provision. Appleton Greene & Co are not responsible for (APD) members who decide not to utilize the service which is available to them or are not able to dedicate the required time or commitment during their designated service period.

The costs and service fees quoted incorporate a service which is provided online via the Appleton Greene cloud servers or via email. If client companies require (APD) members to attend their premises, their office, or to attend any external meetings, then the client company will be responsible for covering the cost of any and all disbursements, including travel and accommodation. Such disbursements need to be mutually agreed in advance between the client company and the independent (APD) member.

Appleton Greene is an equal opportunities service provider and as such we are understandably bound to treat all (APD) members equally. We cannot therefore broker special financial or service arrangements with individual (APD) members regardless of the circumstances. Success as an independent Accredited Program Director (APD) will be dependent upon willing third party client contacts, companies and learning providers being interested in an individual Accredited Program Director (APD)’s portfolio of standard and/or bespoke corporate training programs and subsequently placing program orders via the Appleton Greene web site.

The Accredited Program Director (APD) retains legal title and ownership of any and all standard and bespoke training programs, which they have personally created or developed. If this is the case, then the Accredited Program Director (APD) will have received confirmation in writing from Appleton Greene confirming their status as the legal owner of the corporate training program. This does not include any programs, which have been advertised by the Accredited Program Director (APD) through Appleton Greene, but have not yet been developed and where legal ownership has not yet been approved or verified.

Appleton Greene & Co Accredited Program Director (APD) terms and conditions of service are developed in accordance with and are governed by Cayman Islands and English Law. (APD) members and client companies accept that any litigation or court action will in all cases take place within the jurisdiction of the Cayman Islands, regardless of the geographical location of individual (APD) members or client companies.
